Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") govern your use of Bala AI ("Bala", "we", "our", or "us"), a WhatsApp-based bookkeeping assistant for shop owners in East Africa, operated by BALAFINITECH CO. LTD, whose registered office is at Nkumba, Katabi, Division A, Entebbe Municipality, Wakiso, Uganda (P.O. Box 704283, Entebbe). By messaging Bala on WhatsApp or using our dashboard, you agree to these Terms. If you do not agree, please stop using the service.

2. The Service

Bala helps you record sales, expenses, stock, credit, Mobile Money float, and staff services by sending messages, voice notes, or photos on WhatsApp. It uses artificial intelligence to interpret your messages and keeps your books, balances, and profit figures, which you can also view on the dashboard. Bala is a record-keeping tool, not a bank, a Mobile Money operator, or a provider of accounting, tax, legal, or financial advice.

3. Eligibility & Your Account

  • You must be at least 18 years old and using Bala for a genuine business.
  • Your account is tied to your WhatsApp phone number. You are responsible for activity on your account and for keeping your phone and number secure.
  • You must provide accurate information and use Bala only for your own business records.

4. AI Accuracy & Your Responsibility

Bala uses AI to interpret your messages and to calculate totals, stock, balances, and profit. AI can make mistakes: it may misread a voice note, misprice an item, or miscategorise an entry. You are responsible for reviewing your records and confirming they are correct. The figures Bala produces are estimates to help you run your shop, not certified accounts. Always verify before relying on them for tax, lending, or other important decisions. You can correct or undo any entry at any time.

5. Fees, Free Trial & Billing

  • Bala is free for the first 7 days. After the trial, continued access to reports and summaries requires a subscription, currently UGX 350 per day, paid via Mobile Money.
  • You only pay for the days you choose to use. Prices may change with reasonable notice.
  • When your trial or paid period ends, Bala keeps recording your entries so your books stay complete, but reports and summaries are locked until you subscribe.
  • Payments are processed by third-party Mobile Money providers. Fees already paid are generally non-refundable except where required by law.

6. Acceptable Use

You agree not to:

  • Use Bala for any unlawful purpose or to record fraudulent or illegal activity.
  • Send abusive, harmful, or malicious content, or attempt to disrupt, overload, or reverse-engineer the service.
  • Resell, sublicense, or use the service on behalf of others without our permission.
  • Upload data about other people (such as customer names) that you are not entitled to share.

We may suspend or limit accounts that abuse the service or generate excessive load.

7. Your Data

Your records belong to you. How we collect, use, and protect your information is described in our Privacy Policy, which forms part of these Terms. You can view and export your data from the dashboard at any time.

8. Deleting Your Account

You can stop using Bala at any time. To delete your account and all associated data, message "STOP" or "DELETE" on WhatsApp, or email us at hello@bala.ug from your registered number. We will delete your data within 30 days, except where we are required to retain certain records by law.

9. Service Availability

We work hard to keep Bala running, but the service is provided "as is" and may occasionally be unavailable due to maintenance, third-party outages (such as WhatsApp, Twilio, or Google), or factors beyond our control. We do not guarantee uninterrupted or error-free service.

10. Limitation of Liability

To the fullest extent permitted by law, Bala and BALAFINITECH CO. LTD are not liable for any indirect, incidental, or consequential losses, or for any loss of profits, revenue, data, or business arising from your use of, or inability to use, the service, including decisions made based on figures Bala produced. Our total liability for any claim relating to the service will not exceed the amount you paid us in the three months before the claim arose.

11. Changes to the Service or Terms

We may update the service and these Terms from time to time. If we make significant changes, we will notify you via WhatsApp or by updating the "Last updated" date above. Continuing to use Bala after changes take effect means you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of Uganda. Any disputes will be subject to the exclusive jurisdiction of the courts of Uganda.
